Curaçao has long been one of the most popular jurisdictions for online gaming operators, offering a cost-effective licensing solution with relatively fast processing times. However, the Curaçao gaming regulatory framework underwent significant reform in 2023-2024, and buyers of existing licences must understand the new landscape before proceeding.
1The New Curaçao Gaming Framework
The Curaçao National Ordinance on Offshore Games of Hazard (NOOGH) has been replaced by a new Gaming Control Ordinance, establishing the Curaçao Gaming Control Board (GCB) as the sole licensing authority. The old master licence / sub-licence structure has been abolished, and all operators must now hold their own individual licence directly from the GCB.
2Types of Licences Available
The new framework issues a single type of gaming licence covering all B2C gaming activities. Separate licences are required for B2B suppliers. Existing licence holders under the old regime were required to transition to the new framework by a specified deadline, and buyers should verify that any entity they are acquiring has successfully completed this transition.
3Due Diligence for Buyers
When acquiring a Curaçao-licensed entity, buyers must verify: that the licence is in good standing under the new GCB framework; that there are no outstanding player complaints or regulatory investigations; that the entity's technical systems meet the new certification requirements; and that all AML/CFT policies are up to date. 4Capital and Substance Requirements
The new Curaçao framework introduces minimum capital requirements and substance obligations. Operators must maintain a registered office in Curaçao, appoint a local managing director, and demonstrate genuine economic activity on the island. These requirements are more stringent than under the old regime and must be factored into the acquisition cost.
